Arrangements

The Society is constituted in Gibraltar as a company limited by guarantee, not having a share capital. It was incorporated on 5 November 1998 and is inscribed in the Register of Companies with number 66766. The guarantee of £8 (eight pounds) was discharged by the members at the time of its incorporation and hence they have no further liability in respect of the company.

It is a not-for-profit entity and was inscribed in the Gibraltar Register of Charities on 24 October 2001 with the number 137. As a Registered Charity, the Society is dispensed from the obligation to include the word "Limited" in its name under section 18 of the Companies Ordinance.

The accounts of the Society are filed annually with the Charity Commissioners and abbreviated accounts with Companies House as required by law. Copies of the full audited accounts are made available each year to the Society's sponsors.

The primary organ of management is the Board of Directors, which reaches its decisions after consultation with the Executive Committee. The views of sponsors are also of course taken into account.

There is no "membership" of the Society, in the sense that admission to the Society's events is open to all. No membership fee is payable, but we do invite regular members of our audience to ensure that we have their email address to enable us to advise them directly of forthcoming events, programme changes etc. There is no charge for this service.
